Why seeds planted always exceeds plants counted
A seed bag's labeled rate assumes every seed becomes an established plant, which never happens in the field - lab germination testing and real-world field emergence losses both reduce the fraction of planted seeds that become counted plants.
Worked example
For 32,000 seeds planted per acre, 95% lab germination, and 90% field emergence:
Final Population = 32000 x 0.95 x 0.90 = 27,360 plants per acre

Why is field emergence separate from germination rate? Lab germination testing happens under ideal, controlled conditions - field emergence accounts for real-world factors like soil crusting, seedling disease, insect feeding, and adverse weather that further reduce the number of seeds that actually become surviving plants after germinating.
Why does final plant population matter so much? Many crops have an optimal population range for maximum yield - too few plants underutilizes available resources, while too many creates excessive competition for light, water, and nutrients, both reducing potential yield.
